STANDARD TERMS & CONDITION OF SALE

1. Definitions

1.1. "The Company" refers to VR99.

1.2. "Buyer" refers to the individual or entity purchasing goods or services from the Company.

1.3. "Goods" refers to all products offered for sale by the Company.

1.4. "SLA" refers to the Service Level Agreement for after-sale support.

2. Payment Terms

2.1. All payments must be made in full before the dispatch of goods or commencement of services.

2.2. Payments must be completed via approved methods, as specified in the Company's invoice or quotation.

2.3. The Company reserves the right to withhold delivery of Goods until full payment is received.

3. Orders and Acceptance

3.1. All orders are subject to acceptance by the Company in writing or electronic confirmation.

3.2. Once an order is confirmed, it cannot be canceled or amended without written agreement from the Company.

4. Pricing, Taxes, and Non-Refundability

4.1. Prices quoted by the Company are in [currency] and exclude applicable taxes, duties, and shipping charges unless stated otherwise.

4.2. The Buyer is responsible for all applicable taxes and fees.

4.3. All sales are final, and payments are non-refundable.

5. Delivery and Risk

5.1. The Company will make reasonable efforts to deliver the Goods within the estimated timeframe, but delivery dates are not guaranteed.

5.2. Risk of loss or damage to the Goods passes to the Buyer upon delivery.

6. Warranties and After-Sale Support

6.1. The Company warrants that Goods will conform to the agreed specifications at the time of delivery.

6.2. Warranty claims must be made within [specific period, e.g., 30 days] of delivery.

6.3. After-sale support is provided based on a Service Level Agreement (SLA), which the Buyer may purchase at the time of purchase or later.

6.4. The scope and terms of support are defined in the SLA.

7. Limitation of Liability

7.1. The Company is not liable for indirect, incidental, or consequential damages arising from the sale of Goods.

7.2. The Company’s total liability shall not exceed the value of the Goods purchased.

7.3. The Company is not responsible for:

  • Errors, omissions, or inaccuracies in content or information provided by the Buyer.
  • Any loss or damage caused by software defects, updates, or incompatibility.
  • Any infringement of third-party copyrights, trademarks, or intellectual property arising from the use, reproduction, or distribution of the Goods.
  • Misuse or modification of the Goods by the Buyer or any third party.

8. Force Majeure

8.1. The Company is not liable for delays or non-performance caused by circumstances beyond its reasonable control, including natural disasters, strikes, or governmental actions.

9. Governing Law and Jurisdiction

9.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of India.

9.2. Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.

10. Entire Agreement

10.1. These Terms and Conditions, along with any written agreement between the parties, constitute the entire agreement and supersede any prior understandings.
